Terms of Service

These terms apply to all orders placed on incovia.io. Your contracting party is TAVALARIA LLC, 8 The Green, Suite B, Dover, DE 19901, United States ("INCOVIA").

Our services are directed at entrepreneurs and companies. By ordering you confirm that you act for business purposes.

The scope of each plan is described on the order page at the time of ordering. INCOVIA prepares and files the documents described there with the relevant US state and, where included, with the IRS.

Not included unless expressly stated: legal or tax advice, bank account opening, a business or mailing address, annual state fees, franchise taxes, filings other than those listed, and FBAR or other personal reporting obligations of the owners.

You provide complete and truthful information and the requested identification documents. Delays or rejections caused by incorrect or missing information are your responsibility.

You remain responsible for your company's ongoing legal and tax obligations unless a plan expressly includes them.

All prices are in US dollars. State fees are passed on at cost and shown separately. Yearly plans are billed in advance for each service year.

INCOVIA is a US provider and does not charge VAT. Any import VAT or reverse-charge obligations in your country are your responsibility.

Work begins once payment has been received.

Yearly plans (Compliance, Compliance + Filings) run for one service year and renew for a further year unless terminated in text form at least 30 days before the end of the current service year.

If you terminate, the Registered Agent service ends at the end of the paid service year. You must appoint a new Registered Agent in good time.

Once a filing has been submitted to a state or the IRS, the corresponding service fee and the state fee paid on your behalf are not refundable.

If you cancel before we submit anything, we refund the amounts paid minus fees already incurred with third parties.

INCOVIA is liable without limitation for intent and gross negligence. For slight negligence INCOVIA is liable only for breach of essential contractual obligations and limited to the foreseeable damage typical for the contract, at most the fees paid for the affected service.

INCOVIA is not liable for decisions or processing times of authorities, or for consequences of incorrect information you provided.

These terms are governed by the laws of the State of Delaware, USA. Mandatory consumer protection rules of your country of residence remain unaffected.
